Terms and Conditions

These Terms and Conditions govern access to and use of the ProofSnap mobile application, website, customer-facing report pages, generated report links, and related services, content, software, tools, and communications (collectively, the "Service"). By creating an account, downloading the mobile application, using the website, opening a shared report, or otherwise accessing or using any part of the Service, you agree to be bound by these Terms.

If you use ProofSnap on behalf of a company, contractor, repair shop, service business, franchise, field team, or other organization, you represent that you have authority to bind that organization to these Terms, and "you" includes both you and that organization.

• You must be legally capable of entering into a binding agreement to use the Service.
• You may use the Service only in compliance with applicable laws, regulations, and industry requirements.
• If you create reports, send messages, or upload content on behalf of a business, you are responsible for ensuring you are authorized to do so.
• If you are an end user viewing a report sent by a business, your access is limited to the content made available through the link or page provided to you.

ProofSnap provides a platform that enables businesses and field teams to document work, services, repairs, inspections, maintenance, installations, cleanings, deliveries, and other activities through photos, notes, timestamps, location-related information, and shareable digital reports.

Features may include account creation, workspace management, report generation, photo capture, uploads, report sharing by secure link, email, SMS, or WhatsApp, customer-facing report pages, notification delivery, analytics, storage, and administrative tools. Features may change over time and may vary by device, geography, subscription plan, or integration availability.

• You are responsible for maintaining the confidentiality of account credentials and for restricting access to your devices and accounts.
• You agree to provide accurate, current, and complete information and to keep it updated.
• You are responsible for all activity occurring under your account, including activity by employees, contractors, technicians, admins, or other authorized users.
• You must promptly notify ProofSnap of suspected unauthorized access, security incidents, or misuse of your account.
• We may suspend or require verification of accounts when reasonably necessary for security, fraud prevention, platform integrity, or legal compliance.

Subject to these Terms, ProofSnap grants you a limited, non-exclusive, non-transferable, revocable license to install and use the mobile application on devices you own or control, solely in connection with your permitted use of the Service.

• You may not copy, modify, reverse engineer, decompile, disassemble, or create derivative works from the application except to the extent expressly permitted by law.
• You may not remove, alter, or obscure proprietary notices, branding, or security features.
• You are responsible for maintaining compatible devices, operating systems, connectivity, and data access needed to use the app.
• App store providers may impose additional terms, and your use of the mobile app must also comply with those terms where applicable.

ProofSnap’s website may include public pages, informational pages, pricing pages, download pages, legal pages, and customer-facing report pages. End users who receive a generated report link may be able to access information such as before-and-after images, service summaries, notes, timestamps, technician or business information, and location-related details, depending on what the sending business included in the report.

If you are an end user accessing a report link, you may use the link only for its intended purpose. You may not misuse, scrape, republish, systematically extract, or attempt to gain unauthorized access to reports, tokens, or related systems.

Businesses using ProofSnap may generate reports and share them by unique URL, email, SMS, or WhatsApp. Unless additional safeguards are enabled, anyone with access to the report link may be able to view the associated content. Businesses are responsible for deciding what information to include in a report, choosing recipients, and using appropriate expiration, deactivation, or access control settings when available.

End users are responsible for safeguarding shared links they receive. ProofSnap is not responsible for access by persons who obtain a link from a recipient, forwarded message, shared device, screenshot, or similar disclosure outside ProofSnap’s control.

• You agree to use ProofSnap only for lawful, authorized, and legitimate business or informational purposes.
• You may not upload, transmit, or share false, deceptive, defamatory, harassing, infringing, obscene, unlawful, or fraudulent content.
• You may not use the Service to stalk, threaten, impersonate, exploit, or harm others.
• You may not interfere with, disrupt, probe, test, or bypass security, authentication, rate limits, access restrictions, or protective measures.
• You may not access the Service through bots, scrapers, automated extraction tools, or other means not expressly authorized by ProofSnap.
• You may not use the Service in a way that violates privacy rights, publicity rights, intellectual property rights, telecommunications rules, or consumer protection laws.

You retain ownership of photos, report data, notes, text, images, branding, customer information, and other content you submit, upload, capture, or generate through the Service (collectively, "User Content"), subject to the rights you grant to ProofSnap in these Terms.

You represent and warrant that you have all rights, permissions, licenses, and lawful bases necessary to upload, store, process, share, and transmit User Content through the Service, including any required permissions from customers, property owners, vehicle owners, employees, or other persons appearing in or associated with the content.

You grant ProofSnap a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, format, adapt, and otherwise use User Content solely as reasonably necessary to operate, provide, secure, improve, support, and maintain the Service; to generate and deliver reports and messages at your direction; to comply with law; and to enforce these Terms.

This license continues for so long as reasonably necessary to provide the Service and maintain backup, legal, security, and operational records, subject to deletion workflows, retention practices, and applicable law.

ProofSnap may enable businesses to send reports or related service communications to end users via SMS text message or WhatsApp. By requesting, consenting to, or receiving such communications, you acknowledge and agree to the following terms where applicable:

• Messages are typically sent when a business shares a report or related update through the platform.
• Message frequency is generally one message per report when requested by the end user to the business, but additional operational messages may be sent where necessary for delivery, verification, or related service functions.
• Message and data rates may apply based on your wireless carrier plan, mobile contract, or messaging provider terms.
• Carrier participation and message delivery are not guaranteed, and message timing may vary due to carrier, device, network, platform, or third-party conditions.
• Consent to receive messages is not a condition of purchase unless expressly stated otherwise by the business sending the message.
• To opt out of SMS messages, reply STOP. You may receive a final confirmation message confirming your opt-out.
• For support relating to ProofSnap platform messaging, contact support@proofsnap.io.
• WhatsApp messages are subject to the terms, privacy practices, and delivery environment of WhatsApp and its provider ecosystem.

Certain features, subscriptions, storage levels, messaging volumes, seats, integrations, or service tiers may require payment. You agree to pay all fees, taxes, and charges associated with your account and selected plan. Unless otherwise stated, fees are non-refundable.

• Recurring subscriptions may renew automatically unless canceled before the renewal date.
• We may change pricing, plans, features, usage thresholds, or billing structures prospectively upon notice where required.
• You authorize ProofSnap and its payment providers to charge your designated payment method for applicable amounts.
• If payment cannot be completed, we may suspend access to paid features, messaging, storage, or account functionality.

Your use of the Service is also governed by the ProofSnap Privacy Policy. By using the Service, you acknowledge that ProofSnap may collect, use, store, process, disclose, and protect data as described in that Privacy Policy. If you are a business using ProofSnap, you are responsible for providing any notices and obtaining any permissions required for the data you submit to the Service.

ProofSnap, the ProofSnap name, logos, software, interfaces, designs, text, graphics, page layouts, trademarks, service marks, code, compilations, and related materials are owned by ProofSnap or its licensors and are protected by copyright, trademark, trade secret, and other applicable laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

If you provide suggestions, ideas, enhancements, feature requests, comments, or other feedback regarding ProofSnap, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, implement, and otherwise exploit that feedback without restriction or compensation to you.

The Service may interoperate with or rely on third-party services, including cloud hosting, analytics, payment processors, identity providers, email providers, SMS providers, WhatsApp or related messaging channels, app stores, mapping tools, storage providers, and support platforms. ProofSnap does not control and is not responsible for third-party services, their availability, or their independent terms and privacy practices.

We may modify, suspend, restrict, or discontinue any part of the Service at any time, with or without notice, including features, layouts, APIs, storage limits, messaging functionality, integrations, and supported devices or browsers. We do not guarantee uninterrupted availability and may perform maintenance, upgrades, testing, security measures, or emergency interventions that affect access.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROOFSNAP DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

ProofSnap does not guarantee that reports, links, messages, timestamps, delivery events, access counts, location data, notifications, or analytics will always be accurate, complete, available, timely, or free of loss or interruption.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROOFSNAP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF PROOFSNAP FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO PROOFSNAP FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

You agree to defend, indemnify, and hold harmless ProofSnap and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to:
